1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Arimini ("we", "us", "our"), governing your access to and use of Arimini's website, services, and deliverables.

By visiting our website, submitting an inquiry, signing an engagement agreement, or receiving any deliverable from Arimini, you confirm that you are at least 18 years of age (the age of majority under Indian law), have the legal authority to bind yourself or your organisation, and have read, understood, and agree to these Terms and our Privacy Policy in their entirety.

2. Services

Arimini provides Technology & IT Solutions including but not limited to:

  • Web application development (frontend, backend, full-stack)
  • Mobile application development (iOS, Android, cross-platform)
  • SaaS product development and architecture
  • AI & automation systems development
  • Cloud infrastructure design and DevOps
  • UI/UX design, wireframing, and prototyping
  • API development and third-party integrations
  • IT consulting and digital transformation advisory
  • Ongoing support, maintenance, and retainer engagements

Specific deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SOW) or engagement agreement signed by both parties.

3. Engagement Models

Arimini offers three primary engagement models:

Fixed Price: A defined scope, timeline, and cost agreed upfront. Changes to scope are managed via a formal change request process and may affect cost and timeline.

Time & Material (T&M): Billed based on actual hours worked at agreed rates. Suitable for projects with evolving requirements. Monthly invoices with supporting timesheets.

Monthly Retainer: A fixed monthly fee for a dedicated team allocation. Scope is managed within the agreed hours capacity per month.

4. Payment Terms

  • Invoices are issued as per the payment schedule in your SOW (typically milestone-based or monthly)
  • Payment is due within 14 days of invoice date unless otherwise agreed in writing
  • Late payments may be subject to a 1.5% monthly interest charge
  • Arimini reserves the right to pause work on accounts with overdue invoices exceeding 30 days
  • All prices are exclusive of applicable taxes (GST, withholding tax) unless stated otherwise
  • International clients are responsible for any bank transfer fees or conversion charges

5. Intellectual Property

Upon receipt of full payment for a project:

  • Client-owned deliverables: All custom code, designs, and documentation created specifically for your project are assigned to you in full
  • Arimini's pre-existing IP: Any frameworks, libraries, tools, or methodologies developed by Arimini prior to or independently of the engagement remain Arimini's property. A royalty-free licence to use these in your project is granted
  • Third-party components: Open-source libraries and third-party services are subject to their own licences, which will be documented in project handover materials

Arimini retains the right to showcase the project as portfolio work (name, brief description, technology used) unless the client requests otherwise in writing.

6. Confidentiality

Both parties agree to keep the other's confidential information private. Arimini will:

  • Not disclose client business information, technical details, or credentials to unauthorized parties
  • Restrict access to client data to team members working on the project
  • Sign an NDA upon request before any project discussion begins

Confidentiality obligations survive termination of the engagement for a period of 3 years.

7. Client Responsibilities

For successful project delivery, you agree to:

  • Provide timely feedback on designs, prototypes, and code demos (within agreed review windows)
  • Designate a primary point of contact for project communications
  • Provide access to necessary systems, credentials, and third-party services as required
  • Review and approve deliverables within agreed timeframes. Delayed approvals may affect project timelines
  • Ensure any content, branding, or materials you provide do not infringe third-party rights

8. Acceptable Use of Our Website

When using www.arimini.in, you must not:

  • Submit false, misleading, or fraudulent information via any form
  • Attempt to probe, scan, or test the vulnerability of our systems
  • Introduce malicious code, bots, or scrapers
  • Violate any applicable local, national, or international law

9. Warranties and Disclaimers

Arimini warrants that services will be performed with reasonable skill and care, in accordance with the agreed SOW. We do not warrant that:

  • Deliverables will be free from all defects (minor bugs post-launch are addressed under warranty/support terms)
  • Third-party services, APIs, or platforms integrated into your project will remain available or unchanged
  • Results (revenue growth, user acquisition, performance) can be guaranteed

All other warranties, express or implied, are disclaimed to the maximum extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Arimini shall not be liable for indirect, incidental, consequential, punitive, or exemplary damages
  • Our total aggregate liability for any claim shall not exceed the total fees paid by you for the specific project or engagement giving rise to the claim
  • We are not liable for losses arising from third-party service outages, force majeure events, or your failure to fulfil client responsibilities

11. Termination

Either party may terminate an engagement:

  • For Fixed Price projects: With 14 days written notice. Client is invoiced for all work completed to date
  • For T&M and Retainer engagements: With 30 days written notice. Final invoice covers hours worked in the notice period
  • For cause (material breach): Immediately upon written notice if the other party materially breaches these Terms and fails to remedy the breach within 10 business days

Upon termination, Arimini will deliver all completed work product to the client. Confidentiality obligations survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

Step 1 — Informal Resolution:

Before initiating formal proceedings, the parties shall attempt to resolve any dispute through good-faith negotiations for 30 days following written notice.

Step 2 — Arbitration:

If informal resolution fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). Seat and venue: Nagpur, Maharashtra, India. Language: English. Number of arbitrators: 1 (mutually agreed upon).

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via our website at least 15 days before the effective date. For active project engagements, changes to Terms will not affect existing signed SOWs without mutual written agreement.
